1. Adept Resource Solutions (Adept) is due a fee when an applicant is hired for any position directly or indirectly as a result of our referral within one year of that referral. Any company that, directly or indirectly refers an Adept applicant to an affiliated company, division, or other company organization will be responsible for this fee.

The agreed upon fee will be payable by ________________________ within 15 days upon receipt of invoice. Invoice is sent out on the new hire’s start date.

2.  __________________________ has selected the Flat-Fee Approach / Retainer-Based Approach (circle selection).  Based on the approach selected, the following is understood and agreed upon between ________________________ and Adept Resource Solutions:

     Flat Fee Approach.  Agreeing company will be charged a one-time flat-fee for any Adept resource hired.  Fee will billed upon resource's hire date and due net-30.  Fee will be as outlined in Item #4 of this agreement.  

    Retainer-Based Approach.  Agreeing company must submit a Retainer with this initial Agreement.  Under this approach, retainer must be paid prior to any search activities.  The retainer amount will be $1,000 for each calendar month of retained services.  This retainer is non-refundable and if no candidates are identified for the retained month, then the retainer can be applied in a subsequent month.  

3. Adept will unconditionally guarantee all applicants placed as follows:

Should the applicant voluntarily leave or be terminated within 30 days from the date of employment, Adept will identify a qualified replacement at no charge. If a replacement is not appropriate, then Adept will provide a similar placement for __________________ in the future at no charge. This guarantee does not apply to terminations due to corporate restructuring, project termination or lay-off.

          4. Placement fees are as follows:

               Flat-Fee Approach:  One time flat-fee of $6,000.      

               Retainer-Based Approach:

               fee of $3,500 for salaries $65,000 and under and   

               $5,000 for salaries above $65,000.    

5. Employer consents to the jurisdiction of the courts of the State of Wisconsin, and agrees that its laws shall govern our relationship.

6.  If any provision of this contract is held unenforceable, the remainder of the contract shall remain in force.

7.  Adept will not solicit employees from ___________________________or their clients. This will remain in effect for a period of one year after the last placement or agreement termination.

8.  All information shared by either ______________________________ or Adept will be utilized and shared in strict confidentiality and will not be shared, duplicated or publicly released without the written consent of the other party.

9.  Adept will perform resource searches based on the information supplied by _____________________. As qualified candidates are identified, an initial screening will be conducted by Adept to verify compatibility. This initial screening will include reference checks (minimum 2). Once the candidates pass that process, Adept will present those resources to the _________________________ recruiter for possible next steps. ____________________________ will then become the official sponsor of that resource to their end clients. Additional screening options can be made available if necessary.

10. Terms:  All fees, except for the retainer, will be billed on the resource's hire date and due net-15.  Retainers will be due immediately.  

This agreement will commence ___________________________and will remain in effect unless cancelled by either party with a minimum two (2) week written notice.
